By checking this box, I hereby agree and acknowledge that I have been advised that State Street Capital Realty, LLC has been retained on an exclusive basis by the Owner(s) of the properties listed on this website and that State Street Capital Realty, LLC has available for review certain information (“Confidential Information”) concerning those properties. On behalf of the Owner(s), State Street Capital Realty, LLC may make such Confidential Information available to me upon execution of this Confidentiality Statement. The Confidential Information is intended solely for my own limited use in considering whether to pursue negotiations to acquire any property listed on this website. This is not an agreement to sell any such property nor an offer of sale. No agreement binding upon the Owner of the Property, or any of its associated or affiliated companies, shall be deemed to exist, at law or equity, until the Owner of the Property enters into a formal binding agreement of sale.
The Confidential Information contains brief, selected information pertaining to the business and affairs of the Owner, and has been prepared by State Street Capital Realty, LLC, primarily from information supplied by the Owner or the Owner’s agent. It does not purport to be all-inclusive or to contain all the information which a prospective purchaser may desire. Neither State Street Capital realty, LLC, the Owner nor the Owner’s Lender make any representation or warranty, expressed or implied, as to the accuracy or completeness of the Confidential Information and no legal liability is assumed or to be implied with respect thereto.
I shall be responsible for any breach of this Agreement by my Representatives and hereby assume all liability for damages relating to or arising out of the unauthorized use or disclosure of the Confidential Material by my Representatives.
In addition to the foregoing, neither party hereto will, without the prior written consent of the other, disclose to any person (i) the fact that discussions are taking place concerning a possible transaction between the Owner and the Recipient, or (ii) any of the terms, conditions or other facts with respect to any such possible Transaction, including the status thereof.
If State Street Capital Realty, LLC or the Owner so requests, I shall promptly return to State Street Capital Realty, LLC all written Confidential Material and any other written material containing or reflecting any information in the Confidential Material (whether prepared by Owner, its advisors or otherwise) and will not retain any copies, extracts or other reproductions in whole or in part of such written material. In addition, If State Street Capital Realty, LLC or the Owner so request, all documents, memoranda, notes and other writings, (including in electronic format) whatsoever prepared by me or my Representatives based on the information in the Confidential Material shall be destroyed.
I agree that money damages would not be a sufficient remedy for any breach of this Confidentiality Statement and that State Street Capital Realty, LLC or the Owner shall be entitled to, and I shall not oppose the granting of, equitable relief, including injunction and specific performance, in the event of any breach of the provisions of this Confidentiality Statement, in addition to all other remedies available to State Street Capital Realty, LLC or the Owner at law or at equity.
By executing this Confidential Statement, I agree that the Information provided is confidential, that I will hold and treat it in the strictest of confidence, and that I will not disclose or permit anyone else to disclose the Information to any person, firm or entity without prior written authorization of the Owner and State Street Capital Realty, LLC, except that the information may be disclosed to my partners, employees, legal counsel and lenders or pursuant to a court order. Owner expressly reserves the right in its sold discretion to reject any or all proposals or expressions of interest in the property and to terminate discussions with any party at any time with or without notice. This agreement shall expire after two years or the date of which Recipient closes on the Property. If I do not wish to pursue acquisition negotiations, I hereby agree to return the Confidential Information to State Street Capital Realty, LLC
